BlitzCream Agreement

This Company Agreement ("Agreement") is made and entered into on December 1, 2022, by and between MingsUtilities, which is a group of individuals (not a business), and BlitzCream, Inc., a software development company, ("Company"), and is based in Sydney, Australia.

Purpose and Mission: The purpose of the Company is to provide quality software that the user can trust and enjoy. The Company will strive to provide the best software possible, and will always make sure the source code is available to the public.

Ownership and Equity Structure: The Company will have 100% ownership of the software provided by MingsUtilities. The Company may modify and distribute the software and licences as it sees fit. The Company may not modify the licences to restrict source code access. The Company must provide public, easily accessible source code for all software originally provided by MingsUtilities.

Dissolution: In the event of the dissolution or winding up of the Company, the Company's assets will be distributed to the Owners in accordance to their rightful ownership percentages.

Dispute Resolution: In the event of any disputes or conflicts that arise in connection with this Agreement or the operation of the Company, the parties agree to attempt to resolve such disputes or conflicts in good faith negotiations between the parties. If the parties are unable to resolve such disputes or conflicts through such negotiations, the parties agree to submit such disputes or conflicts to non-binding mediation in accordance with the rules of the International Chamber of Commerce. The parties agree that the mediation shall be conducted wherever both parties agree, and that the mediation shall be conducted in the English language, or any other language, provided that translators are present for both parties. The parties agree that the mediator(s) shall have the power to suggest any remedy or relief that a court of competent jurisdiction could award or that both parties can come to an agreement on. The parties agree that the mediator(s) shall have the power to award any other remedy or relief that the parties mutually deem appropriate.

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral. This Agreement may not be amended or modified, except in writing signed by all parties, which shall include MingsUtilities, BlitzCream, Inc., and any other parties relevant to the amendment or modification.

This Agreement shall be governed first by the laws of the State of New South Wales, Australia, and second by the laws of the International Chamber of Commerce. The parties irrevocably consent to the exclusive jurisdiction of the courts of the State of New South Wales, Australia, and the International Chamber of Commerce, and agree that any action or proceeding arising out of or relating to this Agreement shall be brought in the courts of the State of New South Wales, Australia, and the International Chamber of Commerce if necessary.
